Agreement to Terms

These Terms and Conditions (“Terms”) govern your use of the website and services provided by Mom Knows Marketing LLC, operated by Miranda Trudeau LLC (“Company,” “we,” “us,” or “our”).

Services

We provide operations and marketing services offered on a retainer, project-based, or hourly basis, as outlined in individual proposals, contracts, or agreements.

Specific deliverables, timelines, pricing, and scope of work will be defined in a separate written agreement or proposal. Any work outside of the agreed scope may require additional fees and approval.

Client Responsibilities

To ensure successful delivery of services, you agree to:

  • Provide timely access to information, materials, and approvals

  • Respond to requests within a reasonable timeframe

  • Ensure that all materials you provide are accurate and lawful

  • Respect agreed-upon timelines and communication boundaries

Delays caused by lack of communication or missing materials may affect timelines and outcomes, and do not constitute breach on our part.

Payments and Fees

Payment terms are outlined in your individual service agreement or invoice. By purchasing services, you agree to:

  • Pay all fees on time and in full

  • Authorize recurring payments where applicable (retainers)

  • Pay invoices by the due date indicated

Late or missed payments may result in paused services until payment is received. Fees are non-refundable unless otherwise stated in writing.

Retainers

For retainer-based services:

  • Retainers secure availability and ongoing access to our services

  • Unused hours or services do not roll over unless explicitly stated

  • Retainers are billed on a recurring basis as outlined in your agreement

Either party may terminate a retainer agreement according to the notice period specified in the contract.

Project-Based Services

For project-based work:

  • A defined scope and timeline will be agreed upon before work begins

  • Additional requests outside scope may require a new proposal or added fees

  • Project timelines may shift due to client delays or revisions

Deposits or full payment may be required before work begins.

Hourly Services

Hourly services are billed based on time spent performing agreed-upon tasks. Time tracking may include meetings, communication, research, execution, and revisions related to the work.

Intellectual Property

Unless otherwise stated in writing:

  • Final deliverables become the client’s property upon full payment

  • We retain the right to showcase work in our portfolio, website, or marketing materials unless confidentiality is requested in writing

  • Any pre-existing materials, frameworks, processes, or templates remain the intellectual property of the Company

Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties, except as required to perform services or by law.

Termination

We reserve the right to terminate or suspend services if:

  • Payment terms are not met

  • The client engages in abusive, unethical, or unlawful behavior

  • Continued collaboration becomes unworkable

Upon termination, all outstanding balances become immediately due.

Disclaimer

We do not guarantee specific results, financial outcomes, or performance metrics. Marketing and operations outcomes depend on many factors beyond our control, including market conditions, client execution, and third-party platforms.

Limitation of Liability

To the fullest extent permitted by law, Mom Knows Marketing LLC and Miranda Trudeau LLC shall not be liable for any indirect, incidental, or consequential damages arising from use of our website or services.

Our total liability shall not exceed the amount paid by the client for services rendered.

Third-Party Tools and Platforms

We may use third-party tools, software, or platforms as part of service delivery. We are not responsible for outages, errors, or changes made by third-party providers.

Governing Law

These Terms are governed by the laws of the United States and the state in which Miranda Trudeau LLC is registered, without regard to conflict of law principles.

Changes to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the website or services constitutes acceptance of the revised Terms.
